Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old, have the authority to enter into a binding agreement on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business or organization, "you" refers to that entity. You represent that you have authority to bind that entity to these Terms.

2. Description of Service

2.1 Skyline eSignature

Skyline is a document execution and deal management platform for professionals. It includes e-signature and document sending, contract preparation and templates, deal rooms, AI-assisted contract analysis and clause review, multi-offer comparison, client management, and related tools.

2.2 Skyline Convert

Skyline Convert is a separate but related product that converts bank statements and financial files (PDF) into accounting-software-compatible output formats (QBO, IIF, CSV, OFX). It is available as a standalone subscription at skyline-portal.com/convert or as an add-on to an existing Skyline eSignature account.

Skyline Convert is governed by these same Terms. References to the "Service" in these Terms apply to both Skyline eSignature and Skyline Convert unless the context clearly indicates otherwise.

3. Accounts & Eligibility

• You must be at least 18 years old to create an account.
• You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
• You must provide accurate and complete information when registering. If your information changes, please update your account promptly.
• You may not share your account credentials with others or create accounts for the purpose of circumventing usage limits.
• If you are invited to a team or organization workspace on Skyline, your use of that workspace is also subject to these Terms, and the organization's administrator may have visibility into your activity within that workspace.

4. Subscriptions, Billing & Cancellation

4.1 Plans and Pricing

Skyline eSignature offers a free Starter tier and paid subscription plans (Essential, Professional, and Business). Skyline Convert is available for a standalone monthly subscription. Current pricing is published at skyline-portal.com/pricing. We may update pricing with notice to existing subscribers before their next billing cycle.

4.2 Free Trial

New Skyline eSignature accounts receive a 14-day free trial of paid features. No credit card is required to start the trial. At the end of the trial, access to paid features is restricted unless you subscribe to a paid plan.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual cycle depending on the plan you select. Payments are processed by Stripe. By subscribing, you authorize Airova (via Stripe) to charge your payment method on a recurring basis until you cancel.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access to paid features until that date. You may reactivate your subscription before the period ends to continue without interruption.

We do not offer prorated refunds for unused time in a billing period. If you believe a charge was made in error, contact us at support@skyline-portal.com.

4.5 Refunds

All subscription payments — monthly and annual, including Skyline Convert — are non-refundable. When you cancel, you won't be charged again going forward, and you'll retain access through the end of your current paid period. If you believe you were charged in error, contact us at support@skyline-portal.com and we'll look into it.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right;
• Send fraudulent, forged, or misleading documents or signature requests;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Attempt to gain unauthorized access to the Service, other accounts, or Airova's systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated means (bots, scrapers, crawlers) to access the Service without our written permission;
• Upload or transmit malicious code, viruses, or harmful content;
• Use the Service for any purpose that is unlawful, abusive, or harmful to others.

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice depending on severity.

6. E-Signatures & Legal Validity

Skyline's e-signature functionality is designed to produce legally binding electronic signatures in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and Canada's federal PIPEDA framework and applicable provincial equivalents.

Each signed document generates an audit trail and certificate of completion recording the signer's name, email address, IP address, device information, timestamp, and signing order. These records are retained for evidentiary purposes consistent with applicable statute-of-limitations requirements, as described in our Privacy Policy.

While Skyline is designed to produce enforceable electronic signatures, legal enforceability depends on the specific facts, jurisdiction, and applicable law for each transaction. You are responsible for ensuring that e-signatures meet the requirements of your specific use case. This is not legal advice.

7. AI Features Disclaimer

Skyline's AI-powered features — including contract analysis, AI-assisted clause rewriting, deal insights, and voice transcription — work by sending relevant document content or audio to AI sub-processors to generate output for you (see our Privacy Policy for details on data handling).

AI-generated analysis (risk flags, summaries, suggested edits) is provided for informational purposes only and does not constitute legal advice. You remain responsible for reviewing any document before sending or signing it. Airova makes no warranties as to the accuracy, completeness, or fitness for purpose of any AI-generated output.

8. Intellectual Property

8.1 Our IP

The Skyline platform, including its software, design, trademarks, and content, is owned by Airova Inc. and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without our prior written consent.

8.2 Your Content

You retain ownership of all documents, data, and content you upload or create through the Service ("Your Content"). By using the Service, you grant Airova a limited, non-exclusive license to store, process, and transmit Your Content solely as necessary to provide the Service to you.

We do not use the content of your documents to train machine-learning models. See our Privacy Policy for more detail.

9. Third-Party Services

Skyline integrates third-party services to deliver certain features — including payment processing, AI inference, identity verification, cloud infrastructure, and security. These include, but are not limited to, Stripe, Anthropic, and OpenAI.

Your use of the Service may involve data being transmitted to and processed by these third parties in accordance with their own terms and privacy policies. Airova is not responsible for the acts or omissions of third-party service providers beyond our reasonable control.

10. Disclaimers & Limitation of Liability

10.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

10.2 Limitation of Liability

To the fullest extent permitted by applicable law, Airova and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Airova Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or the rights of any third party; or (d) any document you send, sign, or process through the Service.

12. Termination

You may stop using the Service and delete your account at any time from your account settings. Account deletion removes your personal data in accordance with the retention periods described in our Privacy Policy.

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to other users or to the Service. Where practical, we will give you prior notice.

On termination, your right to use the Service ends immediately. Sections 7, 8, 10, 11, and 13 survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising under these Terms, unless prohibited by the laws of your jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will post the revised version with an updated "Last Updated" date. Where changes are material, we will provide additional notice — such as an email or in-app notification — before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
